Terms of Service

By accessing or using the XiyonAI website (xiyonai.com) and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

These terms constitute a legally binding agreement between you (“Client,” “you,” or “your”) and XiyonAI (“we,” “our,” or “us”).

XiyonAI provides monthly reporting services for small SEO and PPC agencies. The pilot service may include:

• Monthly reports using Google Search Console and Analytics data
• AI-drafted commentary and client email drafts for your review
• Read-only access to the Google accounts you select
• Report setup for the client sites agreed for the pilot

Our services are designed for businesses. By using our services, you represent that you are authorized to enter into agreements on behalf of your organization and that your organization has the capacity to do so.

Engagements begin with a 15-minute intro call. Before work begins, we will agree on the pilot scope and fixed price, including:

• Deliverables and system specifications
• Client sites and reporting data sources
• Deliverable timing and payment terms
• Any follow-up adjustments included in the pilot

Work will not begin until both parties have agreed to the scope in writing. Any changes to the scope must be agreed upon in writing and may affect pricing and timelines.

Payment terms will be specified in your individual service agreement. General terms include:

• Invoices are due within the timeframe specified in your agreement
• Late payments may incur additional fees as outlined in your contract
• All fees are non-refundable once work has commenced unless otherwise stated in your agreement

To enable us to deliver our services effectively, you agree to:

• Provide read-only access to the selected Google Search Console and Analytics properties
• Designate a point of contact for project communications
• Review and provide feedback on deliverables within agreed timeframes
• Ensure that all data shared with us is accurate and that you have the right to share it

Ownership and permitted use of reports and other deliverables will be agreed in the written pilot scope. However:

• XiyonAI retains ownership of proprietary tools, frameworks, and methodologies used in the creation of your systems
• We may use general knowledge and techniques gained during your project for other clients
• We reserve the right to showcase anonymized versions of our work in case studies and marketing materials unless otherwise agreed

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes but is not limited to:

• Business strategies and financial data
• Client lists and lead data
• System architectures and technical implementations
• Ad spend figures and performance metrics

Confidentiality obligations survive the termination of the service agreement.

We handle all data in accordance with our Privacy Policy. We implement enterprise-level security measures including encryption, role-based access controls, and secure infrastructure to protect your data and your clients' data.

To the maximum extent permitted by law:

• XiyonAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from our services shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for losses resulting from inaccurate data provided by you or third-party platforms
• We do not guarantee specific business outcomes such as client retention rates or revenue increases

Either party may terminate the service engagement as specified in the individual service agreement. Upon termination:

• You will be responsible for payment of all work completed up to the termination date
• We will provide reasonable assistance in transitioning your data and systems
• Confidentiality and data protection obligations remain in effect

Our services are provided “as is” and “as available.” While we strive to deliver high-quality systems:

• We do not warrant that our services will be uninterrupted or error-free
• We do not guarantee the accuracy of data from third-party integrations (ad Google services)
• We disclaim all implied warranties including merchantability and fitness for a particular purpose to the extent permitted by law

These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated “Last updated” date. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
